1. General
By accessing, browsing, or using any products or services provided by Metaplex, you acknowledge and agree to be bound by these Terms and Conditions.

2. Scope of Services
Metaplex specializes in precision manufacturing and fabrication of plastic and metal components, delivering complete, end-to-end production solutions.
All services are executed in accordance with detailed client specifications, established timelines, and mutually approved contracts.
Metaplex retains the right to modify, postpone, or refuse any order that does not comply with safety requirements, technical feasibility, or legal standards.
3. Orders and Payments
All quotations issued by Metaplex are valid only for the period specified in the official offer. Orders become binding upon written confirmation from both parties.
Payments must be made in full accordance with agreed terms prior to production or shipment.
Ownership of all goods, products, and related intellectual property remains with Metaplex until complete payment has been received. Late or incomplete payments may result in order suspension or cancellation.
4. Quality Assurance and Liability
Metaplex maintains strict quality control procedures to ensure that every product meets the agreed technical, dimensional, and aesthetic standards.
In the rare event of a defect, Metaplex’s liability is strictly limited to repair, replacement, or refund — at the company’s sole discretion.
Metaplex shall not be held responsible for any indirect, incidental, or consequential losses, including but not limited to loss of profit, downtime, or business interruption resulting from product use.
5. Intellectual Property
All designs, molds, drawings, digital files, prototypes, and production tools created or developed by Metaplex remain the sole property of the company unless otherwise agreed in writing.
Clients are strictly prohibited from reproducing, transferring, or distributing any intellectual property, trade secrets, or technical data belonging to Metaplex without explicit written authorization.
6. Confidentiality
Both parties acknowledge that during collaboration, certain proprietary and sensitive information may be exchanged.
Each party agrees to maintain strict confidentiality and to use such information solely for the purpose of fulfilling the contractual relationship.
Disclosure to third parties is strictly prohibited without prior written consent from the disclosing party.
7. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of the jurisdiction in which Metaplex operates.
Any disputes or claims arising from these Terms shall be resolved in good faith between the parties. If an amicable solution cannot be reached, the matter shall be settled by the competent courts of that jurisdiction.
